Terms of service.
These Terms of Service ("Terms") govern your use of HeldBy (the "Service"), operated by Fabien Dumont trading as Solid Code Studio ("we", "us"). By creating an account, you agree to these Terms.
HeldBy is a SaaS application for tracking company assets assigned to team members. The Service is provided on a paid subscription basis. A 7-day free trial starts automatically when you create your first organization. No payment method is required during the trial, and you may create and use as many organizations as you wish during that period. When the trial ends, access to your organizations is locked until you subscribe to a paid plan.
You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 16 years old to create an account.
- · The subscription price is USD $5 per month, billed in advance.
- · Payments are processed by Stripe, Inc. Payment details are entered directly on Stripe's secure checkout pages; we do not collect or store card numbers. Invoices and receipts are issued by Stripe.
- · Subscriptions renew automatically each month. You can cancel or manage your subscription at any time via the Stripe Customer Portal, accessible from the billing page inside the app.
- · Prices may change with at least 30 days' prior notice, which will not affect the current billing period.
- ·Failed payments may result in suspension of access after a short grace period.
Consumers residing in the EU have a 14-day right of withdrawal for distance contracts. By subscribing and accessing the Service before the end of this period, you expressly request immediate performance and acknowledge that you lose your right of withdrawal once the Service has been fully performed, in accordance with Article L221-28 of the French Consumer Code. Business customers are not covered by this right.
Because the trial gives you 7 days of full access at no cost to evaluate the Service, subscription fees are non-refundable once paid. Canceling stops future renewals at the end of the current billing period but does not trigger a refund for the current or previous periods. This does not affect statutory refund rights that cannot be excluded by law (e.g. prolonged unavailability of the Service).
You agree not to:
- ·Use the Service for unlawful purposes.
- ·Attempt to access other users' data without authorization.
- ·Reverse engineer, scrape, or overload the Service.
- ·Upload content that infringes third-party rights or violates applicable law.
You retain ownership of the data you submit to the Service. You grant us a limited license to host and process it solely to operate the Service. You are responsible for the lawfulness and accuracy of your content.
We make reasonable efforts to keep the Service available but do not guarantee uninterrupted operation. Maintenance and updates may cause temporary downtime.
To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages (loss of data, loss of profit, business interruption). Nothing in these Terms limits liability that cannot be excluded by law.
You may cancel your subscription or delete your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, access to the Service ends and data is deleted per our Privacy Policy.
We may update these Terms. Material changes will be announced by email or in-app notice at least 30 days before taking effect. Continued use after changes means acceptance.
These Terms are governed by French law. Any dispute will be submitted to the competent French courts, subject to any mandatory rules of consumer protection granting jurisdiction to the courts of your country of residence.
